1. Agreement to Terms

By accessing or using the FolioAI mobile application or website, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Service

Folio AI, Inc. provides an AI-powered platform that helps users capture, organize, and transform their spoken memories into written memoirs.

3. Account Responsibilities

When you create an account with FolioAI, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the security and confidentiality of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access or security breach
  • Not share your account with others or create multiple accounts

You must be at least 13 years of age to use FolioAI. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.

4. User Content & Ownership

You retain full ownership of all content (audio recordings, transcripts, and generated text) you create using FolioAI. By using our service, you grant Folio AI, Inc. a license to process your content solely for the purpose of providing the service to you. We do not sell your personal memories or data to third parties.

5. Acceptable Use Policy

FolioAI is designed to help you preserve your personal memories and life stories. You agree to use our Service only for its intended purpose and in compliance with all applicable laws.

Prohibited Content

You may not use FolioAI to create, store, or transmit content that:

  • Is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Infringes on the intellectual property rights of others
  • Contains malware, viruses, or other harmful code
  • Impersonates another person or misrepresents your identity
  • Violates the privacy rights of others without their consent
  • Promotes violence, discrimination, or hatred against individuals or groups
  • Contains sexually explicit material involving minors

Prohibited Activities

You may not:

  • Attempt to gain unauthorized access to any part of the Service or its systems
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use the Service to train competing AI models or services
  • Use automated scripts, bots, or other means to access the Service in an unauthorized manner
  • Interfere with or disrupt the integrity or performance of the Service
  • Circumvent any security measures or access controls
  • Create accounts for users who have been previously banned
  • Share, sell, or transfer your account to another person
  • Use the Service for any commercial purpose without our prior written consent

6. Fair Use & Resource Limits

To ensure a quality experience for all users, we implement reasonable limits on service usage. We reserve the right to:

  • Limit or throttle access for users who consume disproportionate system resources
  • Restrict features or functionality in response to patterns of abuse
  • Set reasonable limits on the length and frequency of content submissions
  • Modify or discontinue features to maintain service quality

We will make reasonable efforts to notify affected users before implementing restrictions, except in cases of egregious abuse or security concerns.

7. Privacy & Data Security

Your privacy is paramount. We implement industry-standard security measures to protect your personal information and content. Please review our Privacy Policy to understand how we collect, use, and protect your data.

8. AI Technology & Limitations

Our service utilizes advanced artificial intelligence technologies to process audio and generate text. By using FolioAI, you acknowledge and agree that:

  • AI-generated content may occasionally contain errors, inaccuracies, or omissions
  • You are responsible for reviewing and editing all generated content before publishing or sharing
  • The AI may interpret your input in unexpected ways; you should verify important details
  • We do not guarantee the accuracy, completeness, or suitability of AI-generated content
  • AI capabilities may change or improve over time, which may affect output quality

You agree not to rely solely on AI-generated content for legal, medical, financial, or other critical decisions without independent verification.

9. Memoir Generation Output

FolioAI offers different memoir length tiers with target word count ranges. By using our memoir generation service, you acknowledge and agree that:

  • Word count ranges are targets, not guarantees. Actual memoir length will vary based on the quality, depth, and richness of your responses
  • Shorter or less detailed responses may result in memoirs below the minimum target range
  • We prioritize accuracy and narrative quality over reaching specific word counts
  • We do not artificially inflate content to meet word count targets, as this would degrade quality
  • Each memoir is unique and personalized; length comparisons between users are not meaningful
  • Memoir generation times are estimates and may vary based on server load and content complexity

The value of your memoir lies in its personal meaning and narrative quality, not its length. We are committed to creating the best possible memoir from the content you provide.

10. Subscription & Payments

Certain features of FolioAI may require a subscription. Payment will be charged to your Apple ID account at the confirmation of purchase. Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period.

11. Enforcement & Remedies

If we determine that you have violated these Terms, we may take any action we deem appropriate, including but not limited to:

  • Issuing a warning
  • Temporarily suspending your access to the Service
  • Permanently terminating your account
  • Removing or disabling access to content that violates these Terms
  • Reporting illegal activity to appropriate law enforcement authorities
  • Pursuing legal action to recover costs and damages

We reserve the right to investigate suspected violations and to cooperate with law enforcement authorities in prosecuting users who violate these Terms or any applicable laws.

12. Termination

We reserve the right to terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so by contacting us or using the account deletion feature within the app.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Indemnification

You agree to defend, indemnify, and hold harmless Folio AI, Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including any copyright, property, or privacy right; or (d) any claim that your content caused damage to a third party.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

Folio AI, Inc. does not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.

15. Limitation of Liability

IN NO EVENT SHALL FOLIO AI, INC., NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

16. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.

17. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in Delaware.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Folio AI, Inc. regarding the use of the Service and supersede all prior agreements and understandings.
